Refer a Friend — Terms and Conditions

Overview

The Quantel Refer-A-Friend Program (“Program”) is a promotional referral initiative offered by Quantel Asset Management LLC (“Quantel”), a registered investment adviser. It allows existing Quantel clients (“Referrers”) to invite friends, family members, and acquaintances (“Friends”) to open a Quantel INVEST™ advisory account and become eligible for a fee rebate reward (“Bonus”).

By participating, you acknowledge that this Program constitutes a paid testimonial under the SEC Marketing Rule, that your participation may create a material conflict of interest, and that the experience described in any testimonial may not represent the experience of other clients.

Participation in the Program is subject to these Program Terms and any additional promotional terms accompanying your referral code.

Eligibility

To be eligible as a Referrer and receive a Bonus:

• You must have an active advisory account with Quantel in good standing.
• You must share your unique referral code (“Code”) directly with your Friend through the Quantel app or web portal.
• Your Friend must open a new Quantel advisory account, fund it with at least $100,000 within 60 days, and maintain the account in good standing for at least 180 days.

Quantel reserves sole discretion to determine whether an account is “in good standing.” Accounts that are closed, suspended, or restricted at any point during the qualification period are ineligible.

Each referral must be unique — only one Bonus will be awarded per referred Friend. Friends with existing Quantel accounts or those who fail to use your Code will not qualify.

Referral Reward Structure

Rewards are credited as cash rebates applied toward your next billing cycle's advisory fees. The maximum cumulative reward per Referrer is $1,000 per calendar year.

Referral Invitations

You may only send referral invitations to people you know personally, such as friends, family, or close acquaintances, using the official referral tools provided by Quantel.

You may not:

• Post or promote your referral link publicly (e.g., on Reddit, X/Twitter, Facebook, or forums).
• Misrepresent Quantel's investment services or provide investment advice.
• Alter or obscure Quantel's official referral content, disclosures, or referral codes.

By participating, you consent that your Friends will know you are a Quantel client. If you choose to share your referral link via third-party apps or messaging services, you must comply with their terms of use and privacy policies. Quantel does not control or endorse any third-party platforms.

Legal Representation

By participating, you represent and agree that:

• You act independently and not as an agent or representative of Quantel.
• You will not provide investment advice or recommendations to Friends.
• You will only share factual information from Quantel's official app, website, or marketing materials.
• You will not collect your Friend's personal data or assist with account setup.
• You will not pay, or accept payment from, any third party in connection with this Program.
• You are not disqualified under Rule 206(4)-1 of the Investment Advisers Act.
• You will comply with all applicable laws and these Program Terms.

If you cannot make these representations, you may not participate. Any violation or misrepresentation may result in forfeiture of rewards and disqualification.

Program Modifications

Quantel may amend these Program Terms at any time. Updates will be reflected by the “Effective Date” above. Material changes may be communicated via email or in-app notification. Continued participation constitutes acceptance of any updates.

Quantel reserves the right to suspend, modify, or terminate the Program at any time, or to revoke rewards obtained fraudulently or in violation of these terms.

Additional Program Information

• Only one referral reward will be granted per referred Friend.
• If multiple Referrers invite the same Friend, the reward goes to the first valid Code used during account registration.
• This Program cannot be combined with other promotions and is non-transferable.
• The Program is currently available to all clients except for clients in those locations where it is prohibited by law.

Participation in the Program does not alter or replace your Advisory Agreement with Quantel, which remains the governing document for your advisory relationship.

Risk Disclosure

• Investing involves risk, including possible loss of principal.
• Information presented through this Program is for educational and promotional purposes only and does not constitute a recommendation to buy or sell securities.
• Quantel's investment products are not FDIC insured and may lose value.
